GENERAL TERMS AND CONDITIONS OF SALE OF SOLE SHAREHOLDER
COMPANY “LA VALLE SRL SOCIETA’ AGRICOLA”

These General Terms and Conditions of Sale (hereinafter also GTCS) regulate the offer and sale of products to the consumer through the website paneincasa.eu (hereinafter the Website) owned by the sole shareholder company La Valle srl Società Agricola (registered office in 43036 – Fidenza (PR), Via Tabiano , 21, Pieve di Cusignano, registered in the Register of the Chamber of Commerce and Industry of Parma, REA Number: PR – 231434, TIN / VAT no. 04570710964).
These GTCS have been drawn up in compliance with the provisions of Legislative Decree No. 206 of 06/09/2005 (the “Consumer Code”) as well as any other legislation applicable to e-commerce.
All Consumers have the right to request additional information and/or clarification through our Customer Care service on the Website.
Clause 1 – Parties to the Contract
The Parties to the Contract are:
- The sole shareholder company La Valle srl Società Agricola (registered office in 43036 – Fidenza (PR), Via Tabiano, 21, Pieve di Cusignano, registered in the Register of the Chamber of Commerce and Industry of Parma, REA Number: PR – 231434, TIN / VAT no. 04570710964).
- The Customer or Consumer, i.e. any natural person who purchases through the Website for purposes other than his/her own commercial, entrepreneurial, or professional activity;
Clause 2 – Subject of the Contract
La Valle Srl Società Agricola offers its products for sale on its Website, carrying out e-commerce activities exclusively with final Consumers as defined by Legislative Decree No. 206/2005. 206/2005.
La Valle Srl Società Agricola reserves the right not to process orders from persons who do not fall within the definition of Consumer pursuant to Legislative Decree No. 206/2005. 206/2005.
La Valle Srl Società Agricola sells its products only and exclusively within Italy.
Purchase requests for the delivery of products to an address outside of Italy will not be accepted by La Valle Srl Società Agricola.
These GTCS do not regulate the supply of services and/or the sale of products by parties other than the sole shareholder company La Valle Srl Società Agricola that may be found on the Website through links, banners, or other hyperlinks.
Clause 3 – Application and modification of the General Terms and Conditions of Sale
La Valle Srl Società Agricola reserves the right to modify/change/supplement the contents of these GTCS, making any changes known on the Website.
La Valle Srl Società Agricola invites individual Customers to consult the Website periodically in order to check for any updates or changes, which will be effective from the day following their publication.
The GTCS applicable to each purchase shall always be those in force at the time the order is placed or sent.
Clause 4 – Product Characteristics and Prices
The Website of La Valle Srl Società Agricola offers for sale only products distinguished by its own trademarks or those selected by the company.
The Website of La Valle Srl Società Agricola does not sell products that are used, faulty, or of lower quality than the standards offered on the market.
The essential characteristics of the products are illustrated on the Website in the product information sheets.
The images and colours of the products offered for sale on the Website, however, may change and/or differ from the actual products due to the browser and monitor used.
Individual products are offered for sale at the price indicated on the Website at the time the Purchase Order is placed.
The prices of the individual products may be subject to modifications and/or changes. Therefore, La Valle Srl Società Agricola invites Customers to check and ascertain the final sale price before sending the corresponding order form, thus confirming the purchase.
The prices indicated on the Website are inclusive of VAT, but, except where expressly indicated, they do not include any additional shipping/delivery costs, which will be charged to the Customer and can be consulted in the table published on the Website or by contacting the Customer Care team.
La Valle Srl Società Agricola undertakes in any case to guarantee the transparency of the shipping and delivery costs of the products sold with specific indications on the Website which, in any case, will be reiterated during check-out.
Clause 5 – Procedure for Conclusion of the Contract
In order to purchase one or more products on the Website, the Customer shall fill in and send an order form (hereinafter also “Purchase Order”) electronically to La Valle Srl Società Agricola, in compliance with the instructions that will be provided throughout the purchase process.
La Valle Srl Società Agricola will describe each phase of the purchase process in detail on the pages of the Website.
All relevant summary information will be provided in the Purchase Order, which will be displayed in its entirety immediately prior to the conclusion of the contract and in any event before any payment is made by the Customer, including:
- the essential characteristics of each product;
- the price (including all applicable taxes and duties);
- any applicable shipping / delivery costs;
By electronically sending the Purchase Order, the Customer unconditionally accepts and undertakes to observe the present GTCS in his/her relations with La Valle Srl Società Agricola.
La Valle Srl Società Agricola, therefore, asks potential Customers who do not agree with certain terms or conditions set out in the GTCS not to submit a Purchase Order.
Following receipt of the Purchase Order, La Valle Srl Società Agricola will check the availability of the product ordered and will send the Customer acknowledgement of receipt by email, which will contain these GTCS.
The Contract of Sale is understood to be concluded when La Valle Srl Società Agricola sends the Customer acknowledgement of receipt of the Purchase Order filled in and sent by the Customer, having checked the correctness and accuracy of the data provided.
La Valle Srl Società Agricola shall archive and store the Purchase Order in its database for the period of time necessary to process it and, in any case, not beyond the terms of the law in compliance with the criteria of privacy and security provided for by Legislative Decree No. 70/2003. 70/2003.
La Valle Srl Società Agricola reserves the right not to execute Purchase Orders that are, by way of example but not limited to, incomplete, incorrect, or inconsistent with its commercial policy, and in the event of the unavailability of the products ordered.
In all the cases described above, La Valle Srl Società Agricola shall inform the Customer that the Contract has not been concluded and that it will not execute the Purchase Order, specifying the reasons for this decision.
In particular, if the products advertised on the Website are no longer available or for sale, La Valle Srl Società Agricola will take care of informing the Customer of their unavailability.
In such a case, the Contract shall not be deemed to have been concluded and, if for any reason it has already been concluded, it shall be deemed automatically terminated and the Customer shall not be charged.
Any contractual or non-contractual liability for direct or indirect harm to individuals and/or property caused by the non-acceptance of an order for the reasons described above (or similar) is expressly excluded.
Clause 6 – Reservation of Products
With the “Reserve Product” service, the Customer may purchase any products that are not available at the time that the Purchase Order is sent, which La Valle Srl Società Agricola undertakes to dispatch, at the Customer’s expense, as soon as they become available.
Once the aforementioned reservation has been received, La Valle Srl Società Agricola will send the Customer a notice containing information regarding the availability of the product, its shipment, and terms of delivery within three (3) days of receipt.
By sending such notice, the Contract shall be deemed to have been concluded.
Should La Valle Srl Società Agricola not send the Customer any notice within the above-mentioned term, the Contract shall be deemed not concluded and the order shall remain unfulfilled, without any liability of a contractual or non-contractual nature being ascribed to the sole shareholder company “La Valle Srl Società Agricola”.
Clause 7 – Shipment and Delivery
La Valle Srl Società Agricola reserves the right not to fulfil or to suspend Purchase Orders whose payment has not been successful, without this resulting in any type of contractual and/or non-contractual liability on the part of the company.
The shipment of the purchased product will only take place following receipt of the payment.
Consequently, the time limit for shipping the product shall begin on the day on which the payment is actually received.
La Valle Srl Società Agricola undertakes to dispatch the goods purchased within three working days of receipt of the payment.
In the event that the products purchased through the Website are limited edition products, or the relative contract is concluded as part of a sales promotion, during competitions or temporary initiatives of any nature, La Valle Srl Società Agricola does not guarantee delivery within the terms indicated above.
In these cases, the delivery period may vary depending on the availability of the product or the terms of the promotion.
Such variations will be duly communicated by La Valle Srl Società Agricola on the Website and/or by e-mail or other means of communication.
In the event that the courier is unable to make the delivery for any reason, he/she will leave a notice with the relevant information to arrange an alternative delivery date.
Clause 8 – Payments
The Customer may pay for individual Purchase Orders, including shipping costs, by means of:
- bank transfer to the IBAN given during the processing of the order;
- Visa, MasterCard, Maestro, American Express, Discover, Diners Club, or JCB (part of the Stripe network);
- PayPal, using your personal account and/or credit card (MasterCard, Maestro, Visa, Visa Electron, American Express, Aura, or Discover);
In the event that the Customer intends to proceed with payment via PayPal, La Valle Srl Società Agricola suggests first making sure that the card company being used offers this service.
The Customer’s financial information shall be encrypted and forwarded to the banks providing the relevant e-payment services, without third parties having any access to it whatsoever.
The aforementioned information will never be used by La Valle Srl Società Agricola for purposes other than those described in this Paragraph and to issue any relative compensation in the case of product returns following the Customer exercising his/her right of withdrawal, or if it were necessary to prevent fraud from being committed through the Website or to report it to the Police.
Before completing the Purchase Order, the Customer may request a tax invoice as indicated during the purchase process.
Clause 9 – Right of Withdrawal pursuant to Article 52 of Legislative Decree No. 206/2005 206/2005
Notwithstanding the applicability of Article 59(1)(d) and (e) of Legislative Decree No. 206/2005, which excludes the right of withdrawal under Article 52 of Legislative Decree No. 206/2005, with reference to“goods which are liable to deteriorate or expire rapidly” and “sealed goods which are not suitable for return due to health protection or hygiene reasons and were unsealed after delivery”, the Customer is entitled to withdraw from the contract by sending a communication:
- by registered letter with acknowledgement of receipt to the following address: “La Valle Srl Società Agricola”, Società Unipersonale, 43036 – Fidenza (PR), Via Tabiano, 21, Pieve di Cusignano”
- by certified e-mail to email@example.com
In order for the withdrawal to be considered effective, in accordance with the regulations in force (Legislative Decree No. 206/2005), the aforementioned communication must be received by La Valle Srl Società Agricola no later than 14 (fourteen) days from the date of delivery of the product.
Immediately upon receipt of the communication of withdrawal, La Valle Srl Società Agricola will take action, without delay, to contact the Customer by telephone in order to communicate the place where the product must be returned.
The Customer shall return the product, at his/her own expense, no later than 14 (fourteen) days after receipt of the aforementioned communication.
La Valle Srl Società Agricola, within the timeframe and in the form agreed with the Customer, shall fully refund the amount paid by the Customer.
La Valle Srl Società Agricola specifies that an essential condition for the withdrawal to be considered valid and effective, with the consequent right of the Customer to be reimbursed the amount paid at the time of completion of the Purchase Order, is the substantial integrity of the product being returned.
Clause 10 – Grounds for termination
The obligations referred to in Clauses 5 and 7 of these GTCS assumed by the Customer and, in particular, the successful payment guarantee, are of an essential nature and character and, therefore, in the event of failure to fulfil just one of these obligations, where the event is not due to unforeseeable circumstances or force majeure, it will result in the legal termination of the contract, pursuant to and for the purposes of Article 1456 of the Italian Civil Code, without the need for any court proceedings on the matter.
Clause 11 – Communication and Complaints
Communications and complaints sent by registered letter with return receipt by the Customer to the Company’s registered office (Fidenza, Via Tabiano, 21, Pieve di Cusignano) or to the certified e-mail address firstname.lastname@example.org shall be considered exclusively valid by La Valle Srl Società Agricola.
The Customer shall indicate the address, telephone number, and e-mail address to which they wish to receive communications from La Valle Srl Società Agricola in the Purchase Form.
Clause 12 – Legal guarantee of conformity
In accordance with the provisions of Title III, Part IV of Legislative Decree 206/2005 (the so-called Consumer Code), La Valle Srl Società Agricola guarantees that the products purchased on the Website shall be free from defects for a period of two years from the date of delivery, without prejudice to all rights and remedies due to the consumer under the Consumer Code, including the right to bring the goods into conformity free of charge by repair or replacement and, alternatively, the other remedies provided for in Article 130 of the Consumer Code.
“Defect”means a significant limitation or reduction in the product’s fitness for use in accordance with Article 129 of the Consumer Code.
All defects resulting from negligent or improper use of the product are not covered by this guarantee.
If the defective product is still covered by the guarantee, it must be returned to the Customer Care centre together with a copy of the appropriate documents as proof of purchase and date of delivery.

Clause 13 – Privacy Clause
The sole shareholder company La Valle Srl Società Agricola informs the Customer, pursuant to and for the purposes of Articles 13 and 14 of EU Regulation 2016/679 (GDPR), that the data transmitted for the purposes of the execution of this Contract will be processed for the following purposes and in accordance with the following procedures:
- The Customer’s data will be stored for the entire period of time necessary to fulfil the purposes described above and for accounting and administrative purposes for up to 10 years from the termination of the relationship between the parties;
- The Customer’s data may be communicated to collaborators and consultants for the execution of the Contract, and to Bodies and Public Administrations in the cases provided for by law. The data will be processed by persons authorised to handle them and who act under the direction, control, and authority of the Data Controller (i.e. the sole shareholder company La Valle Srl Società Agricola). The Customer’s data may be communicated to other companies in the Group, where necessary, for internal administrative purposes and for the purposes of Group coordination and control. Data of a personal nature will under no circumstances be disseminated. The data are transferred and circulated within the European Union; should it become necessary to transfer the data to third countries, the Data Controller undertakes to carry out the aforementioned transfer solely for the execution of the Contract between the parties, undertaking to guarantee adequate levels of security. The data may be accessed by service companies that have been appointed as data processors for this reason. Lastly, the data may be communicated to parties authorised and entitled to access them under specific provisions of laws, regulations, and EU legislation.
- the data subject, i.e. the Customer, may exercise the rights provided for in Regulation 679/2016 (Articles 15-21): the right of access, rectification, erasure, restriction, objection, and data portability; he/she may also lodge a complaint with the supervisory authority in the event of a violation of the rules on personal data protection. Data subjects may send their requests to the company’s certified e-mail address: email@example.com.
- The data controllers are the sole shareholder company La Valle Srl Società Agricola and the Customer;
Clause 14 – Settlement of disputes
Disputes arising from this contract will fall under the jurisdiction of the judicial authority of the Customer/Consumer’s place of residence or domicile of choice, pursuant to Article 33(2)(u) of Legislative Decree No. 206/2005, or the competent court under the national laws in place at the time of the conclusion of the Contract.
La Valle Srl Società Agricola informs the Customer that the European Commission provides an online platform for the settlement of disputes, which the Customer/Consumer can access at the following link: http://ec.europa.eu/consumers/odr/.
La Valle Srl Società Agricola, in any case, invites the Consumer wishing to highlight an issue to contact them at the e-mail and/or certified e-mail addresses reported on the Website.
Clause 15 – Applicable Law and Reference to Statutes
These GTCS are governed exclusively by Italian law and, in particular, by Legislative Decree No. 206 of 6 September 2005 (the Consumer Code) and, as regards e-commerce activities, by Legislative Decree No. 70 of 9 April 2003.

The Customer hereby accepts these General Terms and Conditions of Sale.
The Customer hereby specifically approves, pursuant to Article 1341 of the Italian Civil Code, Articles 3, 6, 7, 9, 10, 11, 14, and 15 of these General Terms and Conditions of Sale.
